Terms of Service

1. Acceptance of Terms

By accessing or using the LeaseGuideAI mobile and web application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

2. Description of the Service

LeaseGuideAI is an AI-powered lease and letter-of-intent (LOI) analyzer for commercial real estate professionals. The Service extracts key dates, rent/escalations, CAM/expenses, termination/renewal/notice deadlines, financial commitments, risks, and opportunities. It is provided for informational purposes only.

3. Intellectual Property

The Service, including without limitation the mobile/web application, AI analysis engine, algorithms, prompts, models, user interfaces, designs, logos, data formats, and all related technology and content (collectively, "Company IP"), is the exclusive property of LeaseGuideAI and its licensors. All rights not expressly granted are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. You agree not to (and will not permit others to):

Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of any Company IP.
Extract, scrape, mine, or harvest any data, outputs, prompts, or methodologies.
Use the Service or any outputs to train, develop, or improve any competing AI or lease-analysis product.
Use the Service for any purpose other than your own internal commercial real estate lease analysis.
Remove or obscure any copyright, trademark, or proprietary notices.

Any attempt to steal ideas, technology, or outputs violates these Terms and may result in immediate termination and legal action.

4. User Accounts and Eligibility

You must be at least 18 years of age and authorized to bind your organization. You agree to provide accurate registration information and keep your credentials confidential. You are fully responsible for all activity under your account.

5. User Documents and Content

You retain ownership of documents you upload. By uploading any document, you grant LeaseGuideAI a worldwide, royalty-free, non-exclusive, sublicensable license to store, process, analyze (via AI), and generate reports solely as necessary to provide and improve the Service (including anonymized data for model refinement).

You represent and warrant that you own or have all necessary rights to upload the documents and that doing so does not violate any third-party rights or confidentiality obligations.

6. Data Security and Privacy

We implement reasonable technical and organizational measures (including Firebase security best practices and encryption) to protect your information. However, no system is impenetrable.

By choosing to upload sensitive lease documents to an online service, you expressly acknowledge and accept the inherent risks of data transmission and storage over the internet. We are not liable for any unauthorized access, breach, or disclosure that may occur despite our efforts. Please review our Privacy Policy for details on data handling.

7. Disclaimers and No Professional Advice

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE AI ANALYSIS WILL BE ACCURATE, COMPLETE, TIMELY, OR ERROR-FREE. AI outputs may contain inaccuracies, omissions, or hallucinations.

The Service is not legal, accounting, financial, or professional advice. You are solely responsible for verifying all extracted dates, deadlines, financials, risks, and opportunities with qualified attorneys, accountants, or other professionals before making any decisions. We prioritize accuracy but cannot guarantee perfection.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASEGUIDEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless LeaseGuideAI, its officers, directors, employees, and agents from any claims, losses, or damages arising from (i) your violation of these Terms, (ii) your uploaded documents, or (iii) any decisions you make based on Service outputs.

10. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in the State of Wisconsin.

12. Changes to Terms

We may update these Terms. We will notify you of material changes. Continued use after notice constitutes acceptance.
