11. Governing Law / Dispute Resolution

To the maximum extent permitted by applicable law, this Privacy Policy and any dispute arising out of or relating to it or the Services will be governed by the laws of Wisconsin, USA, without regard to conflict-of-law principles.

Except where prohibited by law, you and LeaseGuideAI agree that disputes will be resolved by final and binding arbitration administered in Wisconsin, USA, and you waive any right to bring claims as part of a class action or representative proceeding.

To the fullest extent permitted by law, LeaseGuideAI's liability is limited and users agree to indemnify LeaseGuideAI for certain claims arising from their use of the Services.

12. Intellectual Property, Derived Data, and Anonymized Data License

The Services include proprietary technologies, including AI algorithms, lease analysis methodologies, extraction pipelines, workflows, data schemas, scoring systems, and other know-how (collectively, "LeaseGuideAI Technology"). LeaseGuideAI Technology is protected by intellectual property and other laws.

As between you and LeaseGuideAI, you retain rights in documents you upload, subject to the licenses required to operate the Services. LeaseGuideAI retains all rights in LeaseGuideAI Technology and any enhancements, improvements, or derivative works thereof.

Where permitted by law and your settings, you grant LeaseGuideAI a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use de-identified, anonymized, and aggregated information derived from your use of the Services to improve the Services and AI models and for other business purposes. This license survives account termination.
